Terms of Service

Please read these Terms carefully. Section 12 contains a binding arbitration provision and a class action waiver that affect how disputes between you and Segue Living are resolved, and your right to opt out of them. Disputes about your tenancy under a signed lease are handled through the courts, as Section 12 describes.

Acceptance

By accessing or using the Segue Living platform, website, or services (the "Platform"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Platform. If you use the Platform on behalf of another person or entity, you represent that you have authority to bind them to these Terms.

What Segue Living Is

Segue Living connects individuals looking for furnished co-living accommodations with available units. Some units are offered by Segue Living or its affiliates, including National Corporate Housing. Others are offered by independent property owners who list their own units on the Platform ("Suppliers"). Using the Platform to apply for a unit does not guarantee a lease. A separate written lease agreement, signed by both parties, governs the actual tenancy. Segue Living is not a party to any lease between you and a Supplier and does not act as a real estate broker.

Accounts

  • You must be at least 18 years old to create an account.
  • You are responsible for keeping your login credentials confidential and for all activity under your account.
  • You agree to provide accurate, complete, and current information during registration and to update it if it changes.
  • We may suspend or close an account that violates these Terms or that we reasonably believe is being used for fraud or unlawful activity.

Applications and Screening (Consumer Reports)

When you apply for a unit, you authorize Segue Living to obtain a background check and credit report (a "consumer report") through our screening provider, Autohost, and its consumer reporting agency partners, including Equifax. Before any consumer report is obtained, you will receive a separate disclosure and be asked for your written authorization, in a stand-alone document that consists solely of that disclosure, as the Fair Credit Reporting Act (FCRA) requires. The screening provider collects the identity information needed to run the report, which may include your Social Security Number, directly from you. Segue Living does not receive or store your Social Security Number. If you apply for a unit offered by a Supplier, the Supplier decides whether to accept your application. The information you submit for that unit, which may include your identity and screening results, is shared with that Supplier solely to make that decision. Suppliers are contractually required to keep that information confidential, use it only for the leasing decision, and securely destroy it afterward. If your application is declined based in whole or in part on a consumer report, you will receive the notices the FCRA requires.

Payments Rent, deposits, and other charges are collected through our third-party payment processor, Stripe.

By submitting payment information, you agree to Stripe's terms of service. Segue Living does not store your full card or bank account number.

Prohibited Conduct You may not:

  • Use the Platform for any unlawful purpose.
  • Submit false, misleading, or fraudulent information in an application.
  • Impersonate another person.
  • Attempt to access another user's account or any system or data you are not authorized to access.
  • Interfere with or disrupt the Platform.
  • Use automated means to scrape or harvest data from the Platform.
  • Use the Platform to harass, threaten, or harm any other person.

Intellectual Property

All content on the Platform, including text, images, logos, and software, is the property of Segue Living, LLC or its licensors and is protected by law. You may not reproduce, distribute, or create derivative works from any content without our written permission. We grant you a limited, revocable, non-exclusive license to use the Platform for its intended purpose.

Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Segue Living disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Segue Living makes no warranty that the Platform will be uninterrupted, error-free, or free of harmful components, and does not guarantee the availability of any specific unit. Segue Living does not control, and is not responsible for, the condition of units offered by Suppliers or the accuracy of any Supplier's listing. Consumer reports are prepared by third-party screening providers, and Segue Living does not warrant their accuracy.

Limitation of Liability

To the fullest extent permitted by law, Segue Living and its affiliates, and their officers, directors, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to the Platform or these Terms, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages. Segue Living's total aggregate liability for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amounts you paid to Segue Living in the twelve (12) months before the event giving rise to the claim, or (b) one hundred dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, for a party's gross negligence or willful misconduct, or for death or personal injury caused by a party's negligence. Nothing in this Section limits any right or remedy you have as a tenant under a signed lease or under applicable landlord-tenant law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Indemnification

You agree to indemnify and hold harmless Segue Living and its affiliates, and their officers, directors, employees, and agents, from and against any claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Platform, your violation of these Terms, your violation of any law or the rights of any third party, or any information you submit through the Platform. We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

Governing Law;

Dispute Resolution These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. This choice of law does not deprive you of the protection of any mandatory consumer-protection law of the state where you live.

Disputes about your tenancy

Any dispute about a lease you sign, including your occupancy, the condition of a unit, your security deposit, or eviction or possession, is governed by that lease and by the landlord-tenant law of the place where the unit is located. Those disputes are handled through the courts of that location and are not subject to the arbitration agreement below.

Arbitration of other disputes

Any other dispute between you and Segue Living arising out of or relating to the Platform or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in the county where you live or, at your election, by videoconference or on the documents alone. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver

You and Segue Living agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of class proceeding.

Your right to opt out

You may opt out of this arbitration agreement and class action waiver by sending written notice to contact@segueliving.com within thirty (30) days after you first accept these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Denver, Colorado, and you and Segue Living consent to the jurisdiction of those courts.

Exceptions Either

party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect its intellectual property or confidential information.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting the updated Terms on our website. Continued use of the Platform after the effective date of the updated Terms means you accept them.
